Membership & User Agreement for RefX

Before accessing or using the RefX platform, please read this agreement carefully. By registering as a member or using the system, you agree to be bound by the terms and conditions outlined below. If you do not agree with these terms, you may not access or use the platform. Should you begin using the platform, you must immediately cease use if you disagree with any changes made to this agreement. RefX reserves the right to modify this agreement at any time, and such changes will take effect immediately upon posting the updated agreement on the platform. You agree to review this agreement periodically, and continued access or use of the system will be deemed as acceptance of the modified terms.

Parties to the Agreement

This Agreement is made between:

 

TDX Consulting Ltd., registered in the United Kingdom (Company ID: 12312354) with a registered office at Office 403, Screenworks, 22 Highbury Grove, London, United Kingdom, N5 2ER, and

 

TDX Danışmanlık ve Teknoloji Hizmetleri Ltd. Şti., registered in Adalet Mah. Manas Blv. Folkart Towers 2809 / 47 B İzmir / Bayrakli, Turkey,

(jointly referred to as "RefX" or "the Company") and the user ("Member"). By referencing either company in this agreement, both are included.

1.Purpose of the Agreement

 

This agreement defines the terms and conditions under which the RefX platform ("RefX") is used by users ("Member") to evaluate, verify, and review services provided to them, ensuring that the platform operates in accordance with these terms.

 

 

2.Scope of the Agreement

RefX operates as a platform for verifying job seeker references or resumes(CVs), ensuring transparency in the recruitment process, and improving employer branding. This agreement covers the terms users must abide by when using the platform to submit job references, evaluations, and other services provided by RefX.


As part of these services, RefX may collect and process required personal data relating to (i) candidates, (ii) referees who provide references for candidates, and (iii) recruiters, other relevant parties and employer representatives involved in validations.

 

 

3.1.Membership and Platform Use

​

  • To register on the platform, users must complete the registration process accurately and completely. Members are responsible for any damages caused by inaccurate or incomplete information provided during registration.

  • Members assume all responsibility and risk associated with using the platform. RefX does not provide any express or implied guarantees regarding the accuracy or usability of any service, information, or content provided via the platform.

​

  • Members agree not to:

    1. Violate any local laws, international treaties, or government regulations.

    2. Submit any content that is harmful, threatening, defamatory, or infringes on the rights of others.

    3. Misrepresent their affiliation with any person or organisation on the platform.

    4. Introduce any malicious code or material such as viruses, trojans, or spyware.

    5. Engage in actions that could disrupt or limit other users' access to the platform.

    6. To refrain from copying, reproducing, or sharing, in whole or in part, any visuals, comments, or content available on the Platform on social media or any other medium, unless otherwise expressly permitted.

  • Members agree not to damage the commercial value, reputation, or trademarks of any individual or company through the Platform, without prejudice to their right to access information and to inform the public. They acknowledge that they shall be fully responsible for any legal consequences arising from such actions.

​

  • Members acknowledge that RefX reserves the right to monitor and, if necessary, modify comments and feedback submitted by members to ensure compliance with applicable laws and general conduct guidelines.

​

  • RefX is not obligated to resolve any complaints or issues submitted via the platform, nor is it responsible for any damages resulting from unresolved complaints & feedback.

​

  • Referees’ Personal Data Provided by Members. Where a Member submits a referee’s personal data (e.g., name, role, company, contact details) as part of a reference request, the Member represents and warrants that they are lawfully permitted to share such data with RefX and that the data is accurate and up to date.

​

  • Recruiters/Employer Representatives’ Data. Where a Member acts on behalf of an employer or as a recruiter and submits personal data of recruiters or employer representatives, the Member represents and warrants that they are authorised to share such data with RefX for the purposes of reference collection, verification, and recruitment transparency.

  • Contacting and Processing. Members acknowledge and consent that RefX may contact referees directly to obtain and store their opinions regarding a candidate and may process recruiters’/employer representatives’ details to manage validation requests and access permissions, in accordance with the Privacy Policy.

3.2.Membership and User Content Terms

​

 

  1. Promotional communications – You consent to receiving information, promotions, advertisements and other marketing messages related to our services or industry updates via email or phone/SMS. You may opt out at any time by using the unsubscribe links or by contacting us directly.

​

 

  1. Sharing your résumé/CV with third parties – By submitting your résumé/CV on our platform, you grant us permission to share it with authorised third parties for recruitment or validation purposes. These third parties may include recruiters, corporate HR professionals, external credential verification partners and other service providers who need to review résumés to match candidates with job opportunities or to verify the accuracy of the information you provide.

  1. Accuracy of information – You are solely responsible for ensuring that the information you provide (including personal details, résumé/CV content, comments or reviews) is accurate and not misleading. Providing false, deceptive or fraudulent information may violate local and international laws, and may result in suspension or termination of your membership.

  1. Responsibility for résumé/CV contents – You must ensure the accuracy of all entries in your résumé/CV and supporting documents. Any misrepresentation or significant error discovered during validation may lead to suspension or termination of your membership, and we reserve the right to disclose such discrepancies to relevant authorities or partners.

​

 

  1. Reviews and company ratings – If you post reviews, ratings or comments about companies, you are responsible for ensuring that your feedback is truthful and not deceptive. Such reviews and ratings will be shared with the companies’ representatives. If a company confirms that no interview or business interaction occurred as stated, the review or rating may be removed or suspended. In addition, job interview or recruitment feedback will not be published immediately; it will be subject to internal verification by our team and confirmation by the company before it appears on RefX. We reserve the right to edit or not publish any review or rating at our sole discretion.​

  1. Interview feedback communications – We may contact you via SMS, email or phone on behalf of companies you interviewed with to request feedback on your job interview experience. This feedback helps those companies evaluate and improve their recruitment processes. Once verified by RefX and confirmed by the company, your feedback may be published on RefX’s platform. By joining the site, you consent to being contacted for this purpose.​

 

  1. Sharing feedback and personal data with companies – When you submit reviews, ratings or feedback about a company—whether or not we have a partnership with that company—you consent to us sharing your feedback along with your identifying information (such as your name, surname, phone number and email address) with the relevant company. Your feedback is collected and stored through our platform’s internal system, ensuring there is a record of your comments. The company may contact you directly to discuss or clarify your feedback. We will only share the information necessary for the company to respond to your review.

  1. Referees — sharing your data with candidates and companies – When you act as a referee, you acknowledge and agree that RefX may share (a) your identity (e.g., name, role, company and business contact details) and (b) the content of your reference/evaluation (including any supporting attachments) with (i) the candidate for whom you provided the reference and (ii) the candidate’s current or prospective employer, authorised recruiters and credential-verification partners, strictly for verification, assessment, audit and dispute-resolution purposes. Access to such information is permissioned and logged, and only information necessary for these purposes will be shared. If you believe disclosure of specific contact details would pose a risk, please inform us—where feasible, we may redact those details while still validating the reference.​​

​

  1. CV validation service – If you purchase our CV validation service, the results will show which parts of your CV were successfully validated and which parts could not be verified. If significant inaccuracies or misleading information are found, your membership may be suspended or terminated, and no refund will be issued for the validation service.

​

 

  1. Compliance with applicable laws – You must comply with all applicable local and international laws when using our services. We reserve the right to enforce these terms and take appropriate action if you breach them.

 

 

4.User Responsibilities

Members are responsible for maintaining the confidentiality of their passwords and accounts. If a Member becomes aware that their account has been used fraudulently, they must immediately inform RefX. However, this does not relieve them from liability for any actions taken prior to the notification.

 

 

5.Liability Limitations

RefX will not be responsible for:

 

  1. Any direct or indirect damages arising from the use or inability to use the platform, including but not limited to lost profits, business interruptions, or data loss.

​

 

  1. Any errors, omissions, or defects in the services, information, or materials provided via the platform.
    Members are responsible for maintaining the necessary equipment (devices, internet connections, and security systems) required to access and use the platform.

​

6.Force Majeure

 

RefX will not be held liable for any failure to perform its obligations due to unforeseen events or causes beyond its control, such as natural disasters, war, or other acts of force majeure.

 

 

 

7.Governing Law and Dispute Resolution

 

This Agreement will be governed by and construed in accordance with applicable law. Any disputes arising from or in connection with this Agreement between the Companies and the Member will be resolved by mutual agreement or, if necessary, through the dispute resolution procedures provided by law.

8.Termination

 

Either party may terminate this agreement by cancelling the membership at any time, without compensation. RefX has the right to terminate the agreement if the Member violates any provisions of the agreement.

9. Acknowledgement of Agreement

 

By registering and using the RefX platform, the Member acknowledges that they have read and agreed to the terms outlined in this User Agreement. This agreement takes effect as soon as the "I Accept" or "Submit" button is clicked during registration.

Our website and services operate entirely on the Wix.com platform. Wix is contractually required to protect your data and use it only to deliver services on our behalf.

 

 

What Personal Information Do We Collect?

We may collect:

  • Employment and résumé/CV data: when you submit a résumé or CV for validation services, we collect the content of the CV and supporting documents.

  • Recruiters and employer representatives’ data: personal information of recruiters and employer representatives (e.g., name, role, company, business contact details) to create/manage accounts, authorize access to validations, and facilitate communications.

 

  • Payment details: credit or debit card information and transaction history (processed via secure payment processors).

  • Technical data: IP address, browser type, device information, and connection details.

​

  • Usage data: page response times, interactions, browsing patterns, and session details via cookies and similar technologies.

​

  • Indirect data: anonymised demographic or marketing information from advertising partners, where permitted by law.

​

  • We do not knowingly collect personal data from individuals under the age of 18. If you are under 18, you are not permitted to use our services.

 

How Do We Collect Information?

 

Personal data is collected when you:

  1. Register or make a purchase on our website.

  2. Provide feedback, comments, or product reviews.

  3. Submit a résumé or CV for validation.

  4. Request access to view or evaluate others’ résumés through our platform.

  5. Subscribe to our email newsletters or SMS updates.

  6. Join messaging groups on third-party platforms.

  7. Use or view our website via cookies.

  8. Provide a referee’s contact details or invite a referee to respond; we may also contact referees directly to obtain and store their statements for verification purposes. 

  9. Create or use a recruiter/employer account to request or review validations and manage access permissions.

Why Do We Collect Personal Data and What is the Legal Basis?

By agreeing to this user agreement, you acknowledge the collection and processing of your data for the above purposes.

 

 

Consequences of Not Providing Personal Data​

Under Article 13(2)(e) of the GDPR, you must be informed whether providing personal data is required and the possible consequences of not providing it:

 

  • Mandatory data for contractual purposes: To create an account, process orders, or provide résumé validation, we require information such as your name, email address, CV details, and payment details. Without this, we cannot enter into or perform the contract.

 

  • Data required by law: Some information (e.g., billing details) is needed to comply with tax or accounting regulations. Without this data, we may be unable to complete the transaction or may need to cancel it.

 

  • Optional data: Some information is voluntary (e.g., marketing preferences, profile customisation). Not providing this data simply means you may miss optional features or communications.

 

  • Résumé/CV details: If you submit a résumé for validation but do not provide necessary details, we cannot verify your credentials or share your résumé with prospective recruiters.

 

  • References: If you do not provide referees’ details—or if referees do not respond—reference verification and validation outcomes may not be possible.

Data Retention

We retain personal data only as long as necessary:

  • Account data and service usage data: Retained while your account remains active. If you close your account, we delete or anonymize your data, unless legally obligated to retain it (e.g., tax or accounting).

​

  • Résumé/CV data: Stored while you use our validation service. If you cancel the service or request deletion, it is securely deleted. 

​

  • Payment information: Stored only as long as needed to complete your purchase and comply with legal and financial requirements (e.g., fraud prevention, audit obligations).

 

  • Marketing data: Retained until you withdraw consent or until it is no longer needed for marketing purposes.

 

  • Analytics and usage data: Aggregated or anonymized data is stored for service improvement, while identifiable session data is typically removed after 14 months unless longer retention is required for security or legal obligations.

  • Comments and reviews: User-generated content remains on our platform until you request deletion or it is no longer needed.

​

  • Referees’ contact details and statements: As long as the job seeker remains a member of the system, the data of the referee will also remain in the system. The contact details and statements of referees will be retained for the duration of the validation case and for a reasonable period thereafter for verification records, dispute handling, and compliance purposes. Once no longer required, they will be deleted or anonymized.

 

  • Recruiters/employer representatives’ data: Retained while the related account or business relationship remains active and for a reasonable period thereafter for audit and compliance, then deleted or anonymized when no longer required.

Data no longer needed is securely deleted or anonymized. For questions about retention periods, contact our DPO.

 

 

 

 

 

 

How We Share Data

  • Analytics and performance providers: Tools (such as Wix’s analytics or other third-party services) that help us understand how visitors use our site to improve performance and user experience.

 

  • Marketing and advertising partners: If you consent to marketing communications, we may share your email or phone number with services that deliver targeted ads or campaigns.

  • Reference-related sharing: Referees’ names and statements, and relevant candidate/job seeker validation outcomes, may be shared only with the candidate’s current/prospective employer and authorized recruiters strictly for verification purposes. Access is permissioned and logged.

Third-party providers receive only the information necessary to perform their functions and are contractually bound to protect your data. We do not sell your personal data. If you need details about a specific provider, contact our DPO.

 

 

 

 

 

 

International Data Transfers and Safeguards

 

We may store and process personal data outside the country where you reside because our platform is built on Wix.

 

Data may be transferred:

  • Within the EEA for operational and support purposes.

  • To other countries (e.g., the United States) where Wix’s cloud providers store and process data. Wix uses Standard Contractual Clauses (SCCs) or other safeguards required by the GDPR for these transfers.
    In all cases, Wix maintains strict technical, contractual, and organisational safeguards to protect your data’s confidentiality and integrity.

Disclaimer of warranties; limitation of liability

 

 

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.

 

You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

 

 

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

 

 

 

In no case shall RefX, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend and hold harmless RefX and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference or your violation of any law or the rights of a third-party.

 

 

Severability

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

 

 

 

 

 

 

Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

 

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

 

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

 

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
